Terms of Service
TERMS OF SERVICE — V2
Effective Date: September 23, 2026
These Terms of Service ("Terms") are a legally binding agreement between you and Seek & Swell, LLC, the operator of InspoVault ("Seek & Swell," "Company," "InspoVault," "we," "us," or "our"), governing your access to and use of the InspoVault websites, applications, software, features, content, and related services (collectively, the "Service"). By affirmatively accepting these Terms, creating or using an account after accepting them, or purchasing a subscription after being presented with them, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility and United States Availability
You must be at least 18 years old and legally capable of entering into a binding contract to create an account or use the Service. The Service is currently offered only to persons located in the 50 United States and the District of Columbia. The Service is not presently directed to, marketed to, or intended for persons located outside the United States. You may not use the Service if applicable law prohibits you from doing so. By using the Service, you represent and warrant that you meet these eligibility requirements.
2. Your Account
You must provide accurate and current information when creating and maintaining your account. You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account, except to the extent caused by a security failure attributable to the Company. You may not:
- permit unauthorized persons to use your account;
- share credentials to circumvent seat, plan, usage, or other restrictions;
- impersonate another person;
- create accounts through deceptive or fraudulent means;
- or attempt to obtain benefits, trials, quotas, or promotions through account farming or similar abuse.
You must promptly notify us at support@inspovault.com if you believe your account or credentials have been compromised. We may require you to verify information or take reasonable security steps before restoring or modifying account access.
3. The Service
InspoVault provides tools for saving and organizing inspiration and, depending on your subscription or entitlement, may provide features including script generation, transcription, Brand Voices, organization tools, search, and other functionality. The Company may add, modify, improve, replace, limit, suspend, or discontinue portions of the Service. We do not guarantee that any particular feature, third-party integration, supported website, model, platform, workflow, or interface will remain available indefinitely. We may modify the Service where reasonably necessary for security, legal compliance, third-party platform changes, provider availability, technical requirements, or product development.
4. User Content
"User Content" means information, materials, links, text, prompts, notes, tags, Brand Voice materials, reference materials, files, instructions, and other content that you submit, save, provide, or direct the Service to process. As between you and the Company, you retain whatever ownership rights you lawfully hold in your User Content. You grant the Company a non-exclusive, worldwide, royalty-free license to host, copy, transmit, reproduce, format, analyze, process, modify, and otherwise use User Content to the extent reasonably necessary to:
- provide the Service you request;
- store and organize your content;
- provide AI-generation and transcription functions;
- prevent duplicate processing;
- secure and maintain the Service;
- troubleshoot problems;
- provide customer support;
- prevent fraud, misuse, or abuse;
- comply with law;
- and improve the reliability and functionality of the Service.
This license does not transfer ownership of your User Content to the Company. The Company may create and use aggregated or de-identified information derived from use of the Service for lawful business purposes, including analytics, security, reliability, capacity planning, and product development, provided such information is not used to identify you except as permitted by applicable law.
5. Your Representations Regarding Content
You are solely responsible for User Content and for the instructions you give the Service. You represent and warrant that you own or have obtained all rights, licenses, permissions, authorizations, and consents necessary for the Company and its service providers to receive, access, host, reproduce, transmit, analyze, transcribe, transform, generate from, and otherwise process your User Content and any third-party material you direct the Service to process. You further represent and warrant that your User Content and your use of the Service will not:
- infringe copyright, trademark, patent, trade-secret, publicity, privacy, or other rights;
- violate another person's contractual rights;
- violate applicable platform or service terms in a manner that creates liability for the Company;
- violate applicable law;
- or contain material that you lack authority to process.
The Company does not investigate, clear, license, or verify ownership of third-party materials on your behalf. The ability to save a link, generate a transcript, generate a script, transform content, or otherwise process material through InspoVault does not grant you any rights in material owned by someone else.
6. Third-Party Content and Platforms
The Service may allow you to save, reference, organize, or process URLs or content associated with third-party websites, social networks, video platforms, or other services. The Company is not affiliated with or endorsed by those third-party services unless expressly stated. Third-party platforms may modify their websites, APIs, access rules, terms, availability, or technology without notice to us. Accordingly, we do not warrant that:
- a particular third-party URL will remain accessible;
- every third-party video or media item can be transcribed;
- metadata will remain available;
- a particular platform will remain supported;
- or third-party content will remain available.
Your dealings with third parties are between you and those third parties.
7. AI-Generated Content
Some Service features use artificial intelligence provided by the Company and/or third-party AI providers. AI-generated or AI-assisted output may be:
- inaccurate;
- incomplete;
- misleading;
- offensive;
- nonunique;
- similar to material generated for other users;
- unsuitable for your intended use;
- incapable of intellectual-property protection;
- or alleged to infringe or resemble third-party material.
You are solely responsible for reviewing, verifying, editing, clearing, and determining whether to use, publish, distribute, or commercialize AI-generated output. The Company does not guarantee originality, accuracy, legality, copyrightability, merchantability, non-infringement, or fitness of AI-generated output. As between you and the Company, the Company does not claim ownership of output generated specifically for you to the extent such output is capable of ownership under applicable law, subject to:
- rights in your underlying User Content;
- third-party rights;
- the possibility that similar output may be generated for others;
- and applicable law regarding AI-generated material.
AI output is not legal, medical, financial, tax, investment, employment, safety, or other professional advice.
8. Transcription
Transcription is provided for convenience and may contain errors, omissions, misidentifications, timing errors, or other inaccuracies. You are solely responsible for verifying transcripts before relying on, publishing, distributing, or using them. You must have all rights and permissions required to submit or direct the processing of the applicable media. A failed or unavailable transcription does not create liability for the Company merely because a third-party provider attempted to process the media.
9. Sensitive and Regulated Information
InspoVault is not designed or intended for storage or processing of regulated or highly sensitive information. Unless the Company expressly agrees otherwise in writing, do not submit:
- Social Security numbers;
- government identification numbers;
- passwords or authentication credentials;
- complete payment-card information;
- bank-account credentials;
- protected health information;
- biometric identifiers;
- genetic information;
- highly sensitive financial credentials;
- classified information;
- or other information requiring specialized regulatory safeguards.
You are responsible for determining whether information you submit is appropriate for the Service.
10. Acceptable Use
You may not use or attempt to use the Service to:
- violate law;
- infringe or misappropriate another person's rights;
- engage in fraud or deception;
- distribute malicious software;
- interfere with Service availability or security;
- bypass authentication or authorization;
- circumvent plan, usage, billing, trial, seat, or entitlement restrictions;
- create duplicate or manipulated requests to evade metering;
- gain unauthorized access to another user's information;
- probe, scan, or test vulnerabilities without written authorization;
- scrape or automate access in a manner that materially exceeds normal intended use;
- reverse engineer the Service except to the limited extent such restriction is prohibited by law;
- resell, sublicense, or commercially provide access to the Service without written permission;
- interfere with third-party providers;
- use the Service in connection with unlawful surveillance or rights violations;
- or use the Service in a way that creates material security, legal, infrastructure, or reputational risk to the Company.
We may investigate suspected violations and may restrict or suspend access where reasonably necessary to protect the Company, users, third parties, providers, or the Service.
11. No Monitoring Obligation
The Company is not obligated to monitor User Content or independently verify whether you possess rights in content that you direct the Service to process. We may nevertheless review, restrict, preserve, remove, or disclose information where reasonably necessary to:
- operate or secure the Service;
- investigate abuse;
- respond to complaints;
- enforce these Terms;
- comply with law or legal process;
- or protect rights or safety.
12. Trials
The Company may offer a limited free Trial. Unless otherwise stated in the offer, the current Trial provides:
- 14 days of access;
- 10 Script Generations total;
- 5 Transcription Minutes total;
- 1 Brand Voice;
- and applicable Vault functionality.
Trial allowances are total Trial allowances and do not reset monthly. Unused Trial allowances do not roll over into a paid subscription. The Trial does not automatically convert into a paid subscription. You become a paid subscriber only if you affirmatively select a paid plan, expressly consent to the recurring subscription terms presented to you, and complete the payment checkout process. The Company may modify, restrict, discontinue, or deny future Trial offers, including to prevent abuse, subject to applicable law.
13. Paid Subscriptions and Pricing
Certain features require a paid subscription. The specific plan, price, currency, billing interval, included features, and applicable usage limits presented to you immediately before checkout are part of your purchase. The price shown and affirmatively accepted at checkout controls your initial subscription charge. The Company may offer monthly, annual, or other subscription options. Unless otherwise stated, recurring allowances do not roll over. An annual billing term does not necessarily mean usage allowances are provided for the entire year at once. Where the checkout or plan description states that an allowance resets monthly, the allowance resets according to that monthly usage period even though subscription fees are charged annually. You are responsible for applicable taxes, duties, and similar governmental charges except taxes imposed on the Company's income.
14. Automatic Renewal and Consent
Paid subscriptions automatically renew at the billing interval you affirmatively select until canceled. Before charging you, the Company will present the material recurring-subscription terms, including the applicable price and billing frequency, and obtain your affirmative consent. By affirmatively accepting the recurring billing disclosure and completing checkout, you authorize the Company and its payment processor to charge the payment method associated with your subscription for recurring charges at the disclosed interval until cancellation. The Company will make cancellation information available through the Service. Where required by applicable law, we will provide renewal reminders, upcoming-charge notices, price-change notices, or other subscription notices.
15. Cancellation
You may cancel a paid subscription through Manage Billing or another cancellation method made available by the Company. Unless otherwise stated:
- cancellation stops future automatic renewals;
- a normal subscription cancellation takes effect at the end of the then-current paid billing period;
- you may generally continue using paid features through that period;
- and cancellation does not automatically provide a refund for amounts already paid.
If applicable law requires a different result, applicable law controls.
16. Permanent Account Deletion
Permanent account deletion is different from ordinary subscription cancellation. If you permanently delete an account with an active subscription, the Service may:
- cancel the active subscription immediately;
- terminate paid access immediately;
- permanently delete account content from active application systems;
- and retain limited information as described in the Privacy Policy and as permitted or required by law.
Remaining paid time is not automatically refunded merely because you delete your account, except where applicable law requires otherwise. If you want to retain access through the end of your paid period, use Manage Billing rather than deleting the account. Account deletion is intended to be permanent.
17. Price Changes
The Company may change subscription pricing prospectively. Price changes will not retroactively increase charges already paid. Where required by law, we will provide advance notice of a price change and information regarding cancellation. Continued subscription after a properly noticed price change may constitute acceptance where permitted by law.
18. Refund Policy
Except where:
- applicable law requires a refund;
- the Company expressly agrees otherwise;
- or the checkout offer expressly states otherwise, subscription charges are non-refundable.
The Company does not ordinarily provide prorated refunds, credits, or cash value for:
- unused subscription time;
- unused Script Generations;
- unused Transcription Minutes;
- unused Brand Voice capacity;
- failure to use the Service;
- removal of content;
- suspension resulting from your violation of these Terms;
- or voluntary permanent account deletion.
Nothing in this section limits mandatory statutory refund rights.
19. Payment Processing
Payments are processed by third-party payment providers, currently including Stripe. You authorize the applicable payment provider to process charges associated with your subscription. The Company does not directly store your complete payment-card number. Payment providers may process payment, billing, device, transaction, fraud-prevention, and other information under their own terms and privacy practices. If a payment fails or a subscription enters a payment-problem state, access to certain features may be restricted until the issue is resolved.
20. Third-Party Services
The Service relies on third-party providers for functionality including hosting, databases, authentication, artificial intelligence, transcription, email, payment processing, security, and infrastructure. The Company does not control every aspect of those services. To the fullest extent permitted by law, the Company is not liable for interruptions, failures, modifications, acts, omissions, or discontinuation attributable to independent third-party services.
21. No Service-Level Agreement; Backups
Unless the Company expressly agrees otherwise in writing, the Service is not subject to a service-level agreement. The Company does not guarantee any particular:
- uptime percentage;
- response time;
- availability level;
- recovery time;
- backup schedule;
- or retention period for User Content.
You are responsible for maintaining copies of materials that you cannot afford to lose. The Service should not be your sole archival or backup system.
22. Intellectual Property of the Company
The Service and its underlying software, systems, design, branding, interfaces, documentation, databases, workflows, methods, and other Company materials are owned by the Company or its licensors and are protected by intellectual-property and other laws. Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its intended purpose during the period you are authorized to use it. No ownership rights in the Service are transferred to you. Except as expressly authorized, you may not copy, distribute, sell, license, modify, create derivative works of, publicly display, reverse engineer, or exploit Company materials.
23. Feedback
If you voluntarily provide suggestions, ideas, recommendations, feature requests, or other feedback regarding the Service, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable right to use, modify, commercialize, and otherwise exploit that feedback without restriction or compensation. Feedback does not include your User Content merely because you use the Service.
24. Copyright Complaints and Repeat Infringers
The Company respects intellectual-property rights. If you believe content or activity involving the Service infringes your copyright, you may contact:
- support@inspovault.com Your notice should include sufficient information for us to identify and evaluate the claim, including: identification of the copyrighted work;
- identification of the allegedly infringing material or activity;
- information reasonably sufficient to locate the material;
- your contact information;
- a statement describing the basis for your claim;
- and any statements or signature required by applicable law.
The Company may remove or restrict material and may terminate accounts of repeat infringers where appropriate. This section does not represent that Seek & Swell, LLC has completed any statutory designated-agent registration that has not actually been completed.
25. Dispute Resolution; Individual Arbitration; Class-Action Waiver
A. Informal Resolution First
Before filing arbitration or litigation, the party asserting a dispute must first send the other party a written notice describing:
- the person's name and account email, if applicable;
- the nature and factual basis of the dispute;
- and the specific relief requested.
Notices to the Company must be sent to: support@inspovault.com The parties agree to attempt in good faith to resolve the dispute for at least 30 days after receipt of a complete notice before initiating formal proceedings. This requirement does not prevent a party from seeking emergency relief where waiting would cause irreparable harm.
B. Agreement to Individual Arbitration
Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to:
- these Terms;
- the Privacy Policy to the extent a claim is contractual;
- the Service;
- your account;
- a Trial;
- a subscription;
- billing;
- User Content;
- or the relationship between you and the Company will be resolved through final and binding individual arbitration rather than in court.
The arbitration agreement is governed by the Federal Arbitration Act. Arbitration will be administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules then in effect, as modified by these Terms. If the AAA determines that its Mass Arbitration Supplementary Rules apply, those rules will also apply.
C. Arbitration Procedure and Fees
The arbitrator may award the same individualized remedies that a court of competent jurisdiction could award, subject to applicable law and these Terms. Arbitration may occur by documents, telephone, video conference, or another method permitted by the applicable AAA rules. Fees will be allocated as required by the applicable AAA Consumer Arbitration Rules and applicable law. The Company will not require you to pay arbitration fees that applicable law or binding AAA consumer standards require the Company to pay.
D. Exceptions
Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or emergency injunctive relief from a court of competent jurisdiction when necessary to protect against imminent misuse of intellectual property, unauthorized access, security threats, or other irreparable harm. Nothing in these Terms waives any non-waivable right to seek public injunctive relief where applicable law prohibits such a waiver.
E. Individual Proceedings Only
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY:
- act as a plaintiff or class member in a class action;
- bring or participate in a collective action;
- bring or participate in a representative action;
- consolidate claims belonging to different persons except as permitted by applicable arbitration administration procedures;
- or seek relief on behalf of the general public except where such restriction is prohibited by applicable law.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.
F. Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE THAT PROCEEDS IN COURT RATHER THAN ARBITRATION.
G. Arbitration Opt-Out
You may opt out of the arbitration provisions in this Section by sending an email to: support@inspovault.com within 30 days after you first accept these Terms. Your opt-out notice must include: your full name; the email address associated with your InspoVault account; and a clear statement that you are opting out of the InspoVault arbitration agreement. Opting out of arbitration will not affect your account or access to the Service. An opt-out applies only to the person who timely submitted it.
H. Arbitration Severability
If a court or arbitrator determines that a portion of this arbitration section is unenforceable, that portion will be severed to the minimum extent necessary, and the remainder will remain effective, except where applicable law requires a different result. Any final determination that the individual-proceedings restriction cannot be enforced as to a particular non-waivable claim will not authorize an arbitrator to conduct a class proceeding beyond what applicable law permits. Questions about whether an arbitration agreement was formed or whether a valid arbitration opt-out occurred may be decided by a court where required by law.
I. Survival
This Section survives account closure, cancellation, deletion, termination of these Terms, and termination of the Service.
26. Governing Law and Court Venue
The Federal Arbitration Act governs the arbitration provisions above. To the extent state substantive law applies and is not preempted or displaced by mandatory consumer law, these Terms and the relationship between you and the Company are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. For disputes that are permitted to proceed in court and are not required to be brought elsewhere by applicable law, you and the Company consent to jurisdiction in the appropriate state or federal courts located in Tennessee. Nothing in these Terms deprives a consumer of protections that cannot lawfully be waived.
27. Suspension and Termination by the Company
The Company may restrict, suspend, or terminate access to some or all of the Service where reasonably necessary because of:
- violation of these Terms;
- nonpayment;
- fraud;
- security risk;
- abuse;
- legal or regulatory requirements;
- infringement complaints;
- risk to third-party providers;
- material harm to the Service or other users;
- or discontinuation of the Service.
Where reasonable under the circumstances, we may provide notice or an opportunity to address the issue. Immediate action may be taken where we reasonably determine that delay could create legal, security, fraud, infrastructure, or safety risk. Termination does not eliminate obligations or liabilities that accrued before termination.
28. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, AI OUTPUT, TRANSCRIPTS, THIRD-PARTY CONTENT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY;
- QUIET ENJOYMENT;
- AVAILABILITY;
- AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
THE COMPANY DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED;
- THE SERVICE WILL BE ERROR-FREE;
- DATA WILL NEVER BE LOST;
- SECURITY WILL BE PERFECT;
- OUTPUT WILL BE ACCURATE OR UNIQUE;
- THIRD-PARTY SERVICES WILL REMAIN AVAILABLE;
- OR THE SERVICE WILL MEET YOUR PARTICULAR BUSINESS OR CREATIVE OBJECTIVES.
SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS, SO SOME PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEK & SWELL, LLC AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY:
- INDIRECT;
- INCIDENTAL;
- SPECIAL;
- CONSEQUENTIAL;
- EXEMPLARY;
- ENHANCED;
- OR PUNITIVE DAMAGES, OR FOR LOSS OF: PROFITS;
- REVENUE;
- BUSINESS;
- GOODWILL;
- OPPORTUNITY;
- DATA;
- OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE, THESE TERMS, OR YOUR RELATIONSHIP WITH THE COMPANY WILL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNTS YOU ACTUALLY PAID TO THE COMPANY FOR INSPOVAULT DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limitations apply collectively to all claims and all theories of liability. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
30. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Seek & Swell, LLC and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, and service providers from and against third-party claims, demands, actions, proceedings, damages, judgments, liabilities, losses, penalties, costs, and reasonable attorneys' fees arising out of or relating to:
- your User Content;
- materials you direct the Service to process;
- your instructions to the Service;
- your publication, distribution, commercialization, or other use of output;
- your violation of these Terms;
- your violation of law;
- your infringement or alleged infringement of intellectual-property rights;
- your violation of privacy, publicity, contractual, or other rights;
- your misuse of the Service;
- or fraud, willful misconduct, or unlawful activity attributable to you.
The Company may assume control of the defense of a matter subject to indemnification. You may not settle a claim in a manner that imposes liability, obligations, admissions, or restrictions on the Company without the Company's prior written consent. This section does not require indemnification to the extent prohibited by applicable law.
31. Force Majeure
The Company will not be liable for delay, interruption, or failure caused by events reasonably beyond its control, including:
- Internet or telecommunications failures;
- cloud-provider outages;
- payment-provider outages;
- AI or transcription provider failures;
- third-party platform changes;
- labor disputes;
- natural disasters;
- fire;
- severe weather;
- war;
- terrorism;
- civil unrest;
- government action;
- epidemics or pandemics;
- cyberattacks not caused by the Company's failure to use legally required safeguards;
- or failures of utilities or infrastructure.
32. Export and Sanctions Compliance
You may not use the Service in violation of United States export-control, trade-sanctions, or similar laws. You represent that you are not prohibited from using the Service under applicable United States sanctions or export restrictions.
33. Electronic Communications
You consent to receive electronically:
- account communications;
- authentication communications;
- security notices;
- subscription acknowledgments;
- renewal notices;
- payment notices;
- service notices;
- legal notices;
- and other transactional communications.
We may send communications to the email associated with your account or make them available through the Service where legally permitted. You are responsible for maintaining a current email address. Marketing communications, if introduced, will be subject to separate applicable requirements and opt-out mechanisms.
34. Changes to the Service or Terms
We may update these Terms prospectively. If changes are material, we may provide notice through the Service, email, or another legally permitted method. Where applicable law requires renewed affirmative consent, we will request it. Material changes to dispute-resolution provisions will not be applied retroactively to a dispute of which the Company had actual notice before the revised Terms became effective, except where the parties agree otherwise. If you do not agree to revised Terms that require acceptance, you must stop using the Service.
35. Assignment
You may not assign or transfer these Terms or your account without the Company's prior written consent. The Company may assign or transfer these Terms, in whole or in part, in connection with:
- a merger;
- acquisition;
- reorganization;
- financing;
- corporate restructuring;
- sale of assets;
- transfer of the Service;
- or transfer to an affiliate or successor.
36. No Agency or Fiduciary Relationship
These Terms do not create any:
- partnership;
- joint venture;
- employment;
- agency;
- franchise;
- fiduciary;
- or professional-adviser relationship between you and the Company.
37. No Third-Party Beneficiaries
Except where expressly stated, these Terms do not create rights for any third-party beneficiary.
38. Severability
If a provision of these Terms is found unlawful or unenforceable, it will be modified or severed to the minimum extent necessary while preserving the remainder of the Terms to the fullest extent permitted by law. The arbitration section contains additional severability provisions governing disputes.
39. Waiver
Failure by the Company to enforce a provision does not waive its right to enforce that provision or any other provision later. A waiver must be express and in writing to be effective.
40. Entire Agreement
These Terms, together with:
- the Privacy Policy;
- any plan-specific or checkout terms expressly incorporated into your purchase;
- and any other written agreement expressly entered into between you and the Company constitute the agreement governing your use of the Service.
If a specific written order or purchase term expressly conflicts with these Terms, the more specific agreed term controls only as to that subject.
41. Survival
Provisions that by their nature should survive termination will survive, including provisions concerning:
- ownership;
- licenses already accrued;
- payment obligations;
- disclaimers;
- limitation of liability;
- indemnification;
- disputes;
- arbitration;
- governing law;
- enforcement;
- retention of legally permitted records;
- and accrued rights and obligations.
